These Terms of Service ("Terms") govern your use of the PromptR website and all services offered by PromptR ("Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

1. Acceptance of Terms

By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms may be updated from time to time, and any changes will be posted on this page. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the updated Terms.

2. Use of Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• To use the Services for any commercial purposes without the express written consent of PromptR.

3. Account Registration

To use certain features of the Services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and password, and you agree to accept responsibility for all activities that occur under your account.

4. User Content

You retain all of your ownership rights in your content. However, by submitting content to the Services, you grant PromptR a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with the Services and PromptR's business, including for the purpose of promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

5. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, and disclose your information.

6. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by PromptR, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may do so by contacting us at support@promptr.com.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. PromptR makes no representations or warranties of any kind, express or implied, as to the operation of the Services, or the information, content, materials, or products included on the Services. You expressly agree that your use of the Services is at your sole risk.

9. Limitation of Liability

In no event will PromptR, nor its officers, directors, employees, agents, partners, or licensors, be liable to you for any indirect, incidental, special, consequential, or punitive damages, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, and whether or not PromptR has been informed of the possibility of such damage.

10. Governing Law

These Terms and any action related thereto will be governed by the laws of the State of Kansas without regard to its conflict of laws principles.
